Missed Your Commercial Lease Renewal Deadline in South Australia? 9 Essential Checks
Quick answer: A South Australian commercial tenant with an option to renew generally needs to exercise it correctly and within the period set out in the lease. A landlord is not automatically obliged to remind the tenant. Some statutory notice and renewal protections may apply to particular retail leases, but they are not a general cure for a missed option deadline.
Missing a deadline can put business continuity, fit-out investment and negotiating power at risk. Before agreeing to new terms, establish exactly what your lease requires and what happened before the deadline.
1. What is an option to renew?
An option to renew is a contractual right, usually conditional on the tenant meeting specified requirements. Read the option clause together with notice, default and rent-review provisions. Do not assume the lease expiry date is the last date for giving notice.
2. When must a tenant give renewal notice?
Some leases require written notice months before expiry, within a defined window. Calculate the dates carefully and check whether notice must be delivered to a particular address or by a specified method. A diary reminder well before the earliest notice date can prevent costly mistakes.
3. Must the landlord remind the tenant?
Generally, not simply because the lease contains an option. South Australia’s Retail and Commercial Leases Act 1995 contains notice and renewal provisions for certain covered leases, including some situations where no further option exists, but those rules should not be confused with a universal obligation to remind tenants about an existing option.
4. Does the Retail and Commercial Leases Act apply?
Coverage depends on the premises, the transaction and applicable statutory exclusions. Shopping-centre provisions and other end-of-term protections can differ from the rules for a conventional commercial lease. Obtain advice on whether a specific statutory provision applies before relying on it.
5. What if the tenant emailed the landlord before the deadline?
Preserve the complete email chain and attachments. An informal expression of interest may not satisfy a formal option clause, but the precise wording, recipient, timing and landlord’s response can matter. Do not assume an email is valid—or invalid—without reviewing the lease.
6. Can a landlord waive strict compliance?
In some circumstances, communications or conduct may raise questions of waiver, estoppel or other legal remedies. Such arguments are fact-sensitive and should not be assumed to succeed. Obtain advice promptly and avoid making admissions about the option’s validity without understanding the position.
7. Can the tenant remain after the lease expires?
Remaining in occupation may create a holding-over or periodic tenancy depending on the lease, landlord’s consent, payments and applicable law. It does not necessarily provide the security of a new fixed-term lease. Review termination notice requirements and avoid relying on verbal assurances.
8. Can the landlord demand higher rent or different terms?
If a valid option has been exercised, the lease’s renewal and rent-review provisions may govern. If the option has been lost and the parties negotiate a new lease, the landlord may propose changed rent, security, guarantees, outgoings or other obligations, subject to applicable law. Compare the entire financial package, not only the headline rent.
9. What should a business owner do now?
- Obtain the signed lease, variations and assignments.
- Record the option window and expiry date.
- Collect emails, letters and notices exchanged with the landlord or agent.
- Check whether the Act applies and whether any statutory notice rights are relevant.
- Get advice before agreeing to new terms or vacating.
- If appropriate, seek a negotiated renewal and document any agreement in writing.
Frequently asked questions
Is a landlord required to remind me to exercise an option to renew in South Australia?
Not automatically. The tenant generally must follow the option clause. Certain statutory notification obligations arise only in particular circumstances.
What happens if I miss my commercial lease renewal date?
You may lose the contractual right to require renewal. Depending on the facts, you may still negotiate a new lease or have other issues worth examining.
Does paying rent after expiry renew my lease?
Not necessarily. The legal effect of continued occupation and rent payments depends on the lease and the parties’ conduct.
Can a landlord refuse to renew a commercial lease?
It depends on whether the tenant validly exercised an enforceable option and whether any applicable statutory protections apply.
What if my landlord told me verbally that renewal was fine?
Keep a written record of the conversation and seek advice. A verbal assurance may not satisfy formal notice requirements, although the surrounding circumstances can matter.
